All intellectual
property rights in the system known as the Infoxchange Service
Seeker (ISS) are held by Infoxchange Australia. Such rights
will not be transferred to any other organisation that enters
into partnerships for updating, adding data to, or using the
ISS.
Such other
organisations may be granted a licence to use the ISS system,
but will not thereby develop any property rights in the system.
A licence to use the ISS system will be subject to negotiation
regarding annual licence fees.
Any enhancements
or modifications made to the ISS during the course of partnerships
will become part of the intellectual property rights owned
by Infoxchange Australia.
Data already
contained in or added to the ISS system is not itself capable
of ownership by either Infoxchange Australia or its partners.
Such data belongs to the persons or organisations to whom
the data relates unless and until those persons or organisations
themselves assign ownership to Infoxchange Australia or its
partners.
Infoxchange
Australia's intellectual property lies in the system of entering,
organising, managing, accessing and presenting the data. Adding
data to the system does not create new intellectual property.
The ISS
system developed by Infoxchange Australia includes all documents,
reports, charts, drawings, data bases, software, source codes,
models, systems, slides, tapes, disks, style manuals, search
thesaurus and specifications. All processes, tools and methodologies
prepared or developed by Infoxchange Australia and improvements
to those processes, tools and methodologies developed during
any partnership with another organisation vest in and are
owned by Infoxchange Australia.
Unless
given the specific, limited, written approval of Infoxchange
Australia, no partner will be granted the right to make changes
or assume rights to any of the materials or systems of the
ISS.
